1. Who we are

This website ("Site") and all sales through it are operated by CÔNG TY CỔ PHẦN LUMEN HARU (LUMEN HARU JOINT STOCK COMPANY; abbreviated LUMEN HARU JSC) ("Lumen Haru", "we", "us", "our"), a joint stock company (công ty cổ phần) established under the laws of Vietnam, enterprise / tax code 0319543071 (first registered on 11 May 2026 by the Business Registration Office, Ho Chi Minh City Finance Department), registered office Phòng 3.03, Lầu 3, Tòa nhà St. Moritz, 1014 Phạm Văn Đồng, Phường Hiệp Bình, TP. 2. Definitions

"Goods" means the abrasives, welding consumables, cargo lashing/strapping products and related items offered on the Site. "Order" means your request to purchase Goods. "Order Confirmation" means our written acceptance of an Order. "Quotation" means a written price we give for quote-only or bulk Goods. "Consumer" means an individual buying outside their trade or profession; "Business Customer" means any other buyer. "Market" means the storefront you buy from (Global, Vietnam, Cambodia or Japan).

3. Scope; these Terms; changes

These Terms of Sale, together with the Privacy Policy, Returns/Refund & Warranty Policy, Shipping & Delivery Policy, any Quotation and your Order Confirmation, form the entire agreement for your purchase and prevail over any other terms you propose. By placing an Order you confirm you have read, understood and agree to these Terms, and that the information you give is accurate. If you order for a business you confirm you are authorised to bind it. We may amend these Terms; the version in force at the time of your Order governs that Order. Market-specific terms (§21) apply in addition and, where mandatory local law requires, prevail.

4. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract in your Market, and, where Goods are age-restricted or professional-use, meet those requirements. If you create an account you are responsible for keeping its credentials secure and for activity under it; tell us promptly of any unauthorised use. We may suspend or close accounts for breach, suspected fraud, or legal reasons.

5. Products, descriptions, specifications and standards

Descriptions, dimensions, weights, tolerances, standards and performance data are provided in good faith and to the best of our knowledge but are indicative and may vary within normal manufacturing tolerances. Images are illustrative and may not show exact colour or packaging. Where a Good is described as meeting a standard or rating (e.g. type, thickness, maximum operating speed, break/system strength), that reflects the manufacturer's stated rating; independent third-party certification is expressly claimed only where we state so in writing and hold the certificate. Certification documentation is available on request and we will provide it within the substantiation window required by applicable law (Japan 景品表示法 Article 7 — 15 days). You are responsible for confirming a Good's suitability for your specific application, materials, equipment and conditions before use. Except as stated in §13, nothing on the Site is a warranty of fitness for a particular purpose.

6. Units of sale, pricing and currency

Many Goods are sold per box, pack or carton in the quantities stated on each product page; the unit of sale is part of the price and quantity. Prices display in the currency of your Market:

We may change prices at any time before an Order is accepted, and may correct obvious errors (for example a clear mis-price); if a price was clearly wrong we will contact you and will not proceed without your agreement.

7. Taxes, duties and invoices

Applicable taxes — Vietnam VAT (8%–10% per goods category); Japan consumption tax 10% (assessed by Japan Customs on import); Cambodia VAT 10% (assessed by Cambodian authorities on import) — and, for cross-border orders, any import duties/taxes, are shown, calculated or estimated at checkout or in the Quotation. We issue the invoice required in your Market, including a Vietnam e-invoice (hóa đơn điện tử) per NĐ 123/2020 + TT 78/2021. For cross-border sales from Vietnam to Japan under DAP, we are not a Japanese consumption-tax-registered business and do not issue Japanese qualified invoices (適格請求書); JP-registered buyers claim input tax credit using the customs import-permit notice (輸入許可通知書). For cross-border delivery, our default Incoterm is DAP (Delivered At Place, Incoterms 2020) — import duties, taxes, and customs-clearance fees are your responsibility and you are the importer of record (see §11 and the Shipping Policy).

8. Quotations and quote-only Goods

Some Goods are supplied on Quotation ("Request a Quote"), including bulk orders and certain lines (e.g. E7018 in some Markets, tensioners). A Quotation is valid for 30 days unless stated, is not an offer we are bound to keep, and may be withdrawn or corrected before you accept. A contract for quote-only Goods forms only when you accept the Quotation in writing and we confirm.

9. How a contract is formed

Your Order is an offer to buy. Any acknowledgement that we have received it is not acceptance. A binding contract arises only when we send an Order Confirmation (or confirm your acceptance of a Quotation), or when we dispatch the Goods, whichever is earlier. We may decline or limit any Order — for example for stock, pricing error, suspected fraud, delivery area, credit, or export/sanctions restrictions — and if we do we refund any payment taken for the declined part.

10. Payment and credit

Accepted methods are shown at checkout for your Market. Currently available: direct bank transfer to Vietcombank (Lumen Haru account) only. Additional gateways — VNPAY / MoMo (VN), ABA PayWay (KH), KOMOJU / PayPay / konbini (JP), card (Global) — are planned and will be added on contract with each provider; check the checkout page for current availability. Payment is handled by third-party payment providers; we do not receive or store full card details. Bank-transfer orders: payment is due within 3 days of order; we may cancel unpaid orders after that. We do not offer credit accounts by default; if credit terms are agreed in writing, invoices are due within the period set in the credit agreement, and we may charge statutory late interest and suspend supply on overdue accounts to the extent the law allows.

11. Delivery, lead times and partial delivery

Delivery terms, lead times and charges are in the Shipping & Delivery Policy, which forms part of these Terms.

Consumer delivery-time protection. Estimated delivery dates are indicated at checkout and in the Shipping Policy. For Consumer orders (VN / JP / KH), if we cannot deliver within the estimated window we will contact you promptly and you may (i) accept a revised delivery date or (ii) cancel the affected part of the Order for a full refund of the price paid and any delivery cost. This reflects the mandatory protection in Article 40 of the Law on Protection of Consumer Rights 2023 (Vietnam), Act on Specified Commercial Transactions Article 11 (Japan), and Cambodia CPL 2019.

For Business Customer orders, delivery dates are estimates and, unless we agree a fixed date in writing, time is not of the essence; we are not liable for reasonable delays outside our control (§18).

We may deliver in instalments; a delay or defect in one instalment does not entitle you to cancel the rest. You must ensure someone can receive and, for heavy freight, help unload the Goods; failed deliveries may incur re-delivery charges.

12. Risk and retention of title

Risk of loss or damage passes to you on delivery to you or your nominated carrier/address. Title (ownership) of Goods passes to you when we have received payment in full for those Goods. Until title passes you must store the Goods so they are identifiable as ours. Where third-party effect against your creditors or trustee in bankruptcy is required, this reservation of title takes effect only from registration or perfection under the applicable law of your Market (in Vietnam under Bộ luật Dân sự 2015 Article 328 and secured-transaction registration; in Japan under movables-registration and bankruptcy law), and we may require you to co-operate with any such registration.

13. Inspection, warranty and claims

Please inspect Goods on delivery. We warrant that, at delivery, the Goods conform in material respects to their description and are free from manufacturing defects, for the warranty period stated in the Returns/Refund & Warranty Policy (manufacturer's warranty period plus 12 months from delivery for latent manufacturing defects, whichever is longer). This is our only warranty. Consumable Goods (abrasive discs, electrodes) are consumed in normal use and are warranted only against defects present at delivery. To claim, contact us with the Order number, the batch where shown, and evidence (photos) within the reporting window in that Policy (72 hours for defective/damaged/wrong-item; 10 days for change-of-mind). Warranty does not cover normal wear, or damage from improper selection, storage, handling or use, use beyond the stated maximum speed/load, use with unsuitable equipment, or alteration after delivery.

14. Cancellation and returns

Your rights to cancel, return and obtain a refund, and any mandatory Consumer cooling-off or statutory rights in your Market, are set out in the Returns/Refund & Warranty Policy and §21. Nothing in these Terms reduces mandatory Consumer rights.

15. Safe use and customer responsibility

Abrasive, welding and lashing Goods are industrial products that can cause serious injury or death if misused. You must: follow the manufacturer's instructions and applicable safety standards; observe the stated maximum operating speed and rated/working load; select the correct Good for the job, materials and equipment; use appropriate guards and personal protective equipment; ensure operators are trained and competent; and inspect Goods before use and never use a Good you suspect is damaged. You are responsible for compliance with health, safety and workplace law at your site. Safety Data Sheets (SDS) for welding consumables and silica-containing abrasives are available on request via support@lumenharu.com.

16. Limitation of liability

To the maximum extent permitted by applicable law: (a) all terms, warranties and conditions not expressly set out here (including implied fitness for purpose and merchantability) are excluded; (b) our total liability arising out of or in connection with any Order is limited to the price paid for the Goods giving rise to the claim; and (c) we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, production, business, contracts, goodwill or data. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded — including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and any liability under mandatory consumer-protection or product-liability law in your Market. Your statutory rights as a Consumer are not affected.

16-bis Consumer carve-out from §16

Sub-paragraphs (a) and (b) of §16 do NOT apply where you buy as a Consumer (an individual buying outside your trade or profession) resident in Vietnam, Japan or Cambodia. In those cases, the mandatory consumer-protection law of your Market governs the scope of implied warranties, liability caps and non-conforming-goods remedies, and prevails over §16(a)–(b). Basis: Điều 25 Luật BVQLNTD 2023 (Vietnam) which voids unfair standard-form clauses excluding merchant liability or implied warranties; 消費者契約法 Articles 8–10 (Japan); CPL 2019 (Cambodia).

17. Indemnity (Business Customers)

If you are a Business Customer, you will indemnify us against reasonable claims, losses and costs arising from your breach of these Terms or from your improper storage, handling, resale or use of the Goods, to the extent caused by you and permitted by law.

18. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural events, fire, flood, epidemic, strikes, transport or utility failure, supplier failure, war, terrorism, sanctions, or governmental action. If such an event continues for more than 30 days, either party may cancel the unfulfilled part of the Order and we refund sums paid for undelivered Goods.

19. Intellectual property

All content on the Site (text, images, logos, the brands HAKUDO, King Tiger and UNI, layout and product data) is owned by or licensed to Lumen Haru and is protected by law. You may not copy, reproduce or use it without our prior written permission.

20. Privacy, notices, assignment, severability, waiver

We process personal data under our Privacy Policy. Notices to us go to info@lumenharu.com; to you, to the contact details in your Order. You may not assign your rights without our consent; we may assign or subcontract our obligations without reducing your rights. If any provision is unenforceable, the rest remain in force. Our not enforcing a right is not a waiver of it.

21. Governing law, market-specific terms and disputes

General: these Terms are governed by the laws of Vietnam, and disputes arising from Business Customer orders on the Global and Vietnam storefronts are subject to the exclusive jurisdiction of the People's Court of Ho Chi Minh City, Vietnam.

Consumer carve-out (applies to all Markets). Where you buy as a Consumer resident in Vietnam, Japan or Cambodia:

Vietnam-specific: We comply with the Law on Protection of Consumer Rights 2023, the Law on E-Commerce and its decrees, and issue VAT e-invoices per NĐ 123/2020. Our e-commerce site is notified/registered with the Ministry of Industry and Trade — notification confirmation pending; the official 'Đã thông báo Bộ Công Thương' badge will appear in the site footer within 48 hours of Ministry approval. Consumer complaints channel: Cục Cạnh tranh và Bảo vệ Người tiêu dùng (Ministry of Industry and Trade) — hotline 1800.6838. You may also use competent authorities/mediation.

Cambodia-specific: We comply with the Law on E-Commerce (2019) and the Consumer Protection Law (2019). Dispute forum for KH Consumers: Ministry of Commerce mediation, then Cambodian courts of competent jurisdiction, per Consumer Protection Law 2019.

Japan-specific: Mandatory disclosures under the Act on Specified Commercial Transactions appear on our 特定商取引法に基づく表記 page and prevail over any inconsistent term here. Returns follow that page and the Returns Policy; there is no statutory cooling-off for mail-order sales, but our stated return terms apply (10 days change-of-mind, 72 hours defect).
